1. Acceptance of Terms

By accessing or using Gaidly's AI-powered travel planning services, including our website, mobile applications, and related services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.

These Terms constitute a legally binding agreement between you and Gaidly, Inc. ("Gaidly," "we," "our," or "us").

2. Description of Services

Gaidly provides AI-powered travel planning and discovery services, including:

  • Personalized travel recommendations through our AI assistant "G"
  • Custom itinerary creation and trip planning tools
  • Community features for sharing travel experiences and plans
  • Integration with third-party travel service providers
  • Real-time travel assistance and location-based services
  • Travel guides and destination information

3. Eligibility and Account Requirements

Age Requirements:

  • You must be at least 13 years old to use our Services
  • Users between 13-18 must have parent/guardian consent
  • Certain travel features may require you to be 18+ due to booking or legal requirements

Account Registration: You agree to:

  • Provide accurate and complete information during registration
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized account access
  • Take responsibility for all activities under your account
  • Maintain only one personal account (additional business accounts permitted)

Verification: We may require identity verification for certain features, particularly those involving travel bookings or financial transactions.

4. AI Assistant and Personalized Services

AI Assistant "G":

  • "G" is an artificial intelligence system designed to provide travel recommendations and assistance
  • AI recommendations are based on algorithms, user preferences, and available data
  • AI Limitations: "G" is not infallible and recommendations should be verified independently
  • We continuously improve AI accuracy but cannot guarantee perfect results

Personalization:

  • Our Services use your data and preferences to provide personalized recommendations
  • You can adjust personalization settings in your account
  • Opting out of personalization may limit service functionality

AI Decision-Making:

  • Significant decisions affecting your travel should not rely solely on AI recommendations
  • You have the right to request human review of AI-driven suggestions
  • We are not responsible for travel decisions made based solely on AI recommendations

5. Use of Services

Permitted Use: Gaidly grants you a limited, non-exclusive, non-transferable, and revocable license to access and use our Services for personal, non-commercial travel planning purposes.

Prohibited Use: You agree not to:

  • Use the Services for any unlawful purpose or in violation of local laws
  • Access or use Services while in countries where prohibited
  • Interfere with the proper functioning of the Services or AI systems
  • Attempt to reverse engineer our AI algorithms or recommendation systems
  • Use automated systems (bots, scrapers) to access the Services
  • Create false accounts or impersonate others
  • Share account credentials with others
  • Use the Services for commercial purposes without our written consent
  • Submit false or misleading travel information
  • Harass, abuse, or harm other users

Travel-Specific Restrictions:

  • Do not use our Services for illegal travel activities
  • Comply with all local laws and regulations while traveling
  • Respect cultural norms and local customs in destinations
  • Do not use location services to stalk, harass, or harm others

6. Community Features and User Content

Community Guidelines: When participating in community features, you must:

  • Be respectful and truthful in all interactions
  • Provide accurate reviews and travel information
  • Respect others' privacy and intellectual property
  • Not share inappropriate, offensive, or harmful content
  • Not engage in spam, self-promotion, or commercial activities

User Content Ownership: You retain ownership of content you submit ("User Content"), including:

  • Travel reviews and ratings
  • Photos and videos from your trips
  • Custom travel itineraries and guides
  • Comments and community posts

User Content License: By submitting User Content, you grant Gaidly:

  • A worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content
  • The right to use your content to improve our Services and AI algorithms
  • Permission to share your content with other users when you make it public

Content Standards: User Content must not:

  • Contain false or misleading travel information
  • Include copyrighted material without permission
  • Contain personal information of others without consent
  • Include inappropriate, offensive, or illegal content
  • Violate any person's rights or applicable laws

Content Moderation:

  • We reserve the right to review, modify, or remove User Content
  • We may suspend accounts that violate community guidelines
  • Automated systems may flag content for review

7. Location Services and Real-Time Features

Location Data:

  • Certain features require access to your location data
  • You control location sharing through device and app settings
  • Location data is used for personalized recommendations and safety features
  • We may collect location data even when the app is not actively in use (with your permission)

Real-Time Services:

  • Weather information, transportation updates, and local alerts
  • Real-time recommendations based on your current location
  • Emergency assistance features (where available)

Location Accuracy:

  • Location-based features depend on GPS, network, and other factors
  • We cannot guarantee location accuracy or real-time data reliability
  • Do not rely solely on our Services for navigation or emergency situations

8. Third-Party Travel Services

Integration Partners: Our Services may integrate with third-party providers including:

  • Airlines and flight booking platforms
  • Hotels and accommodation providers
  • Car rental services and transportation companies
  • Activity and tour booking platforms
  • Restaurant reservation systems

Third-Party Terms:

  • Third-party services are subject to their own terms and conditions
  • We are not responsible for third-party service quality, availability, or performance
  • Booking confirmations and customer service are handled by respective providers

9. Travel Disclaimers and Safety

Travel Advisories:

  • We provide general travel information and recommendations
  • You are responsible for checking current travel advisories, visa requirements, and health recommendations
  • Travel conditions, laws, and requirements change frequently
  • Consult official government sources for authoritative travel guidance

Travel Safety:

  • We do not guarantee the safety of any destination or activity
  • Travel involves inherent risks that you assume voluntarily
  • Emergency assistance features are supplemental to professional emergency services
  • Always carry appropriate insurance and emergency contact information

Health and Medical:

  • We do not provide medical advice or health recommendations
  • Consult healthcare professionals before traveling, especially internationally
  • We are not responsible for health-related travel issues

Travel Documents:

  • When we store travel document information, it is for convenience only
  • You are responsible for ensuring all travel documents are valid and current
  • We do not guarantee acceptance of travel documents by authorities

10. Intellectual Property

Gaidly Property: All Gaidly content is protected by intellectual property laws, including:

  • The "G" AI assistant character and personality
  • Travel guides and curated content
  • Software, algorithms, and AI models
  • Logos, trademarks, and brand elements
  • Database of travel information and recommendations

Limited License: You may not:

  • Copy, modify, or distribute our proprietary content
  • Use our trademarks or branding without permission
  • Attempt to recreate our AI algorithms or recommendation systems
  • Create derivative works based on our Services

DMCA Compliance: We respond to valid copyright infringement notices under the Digital Millennium Copyright Act. Contact us at [email protected] for copyright concerns.

11. Subscriptions, Payments, and Cancellations

Subscription Services:

  • Some features require paid subscriptions (Pro Monthly and Pro Yearly)
  • Subscription fees are charged in advance for each billing period
  • Auto-renewal can be disabled in your account settings

Payment Terms:

  • All fees are in US Dollars unless otherwise specified
  • International users may see charges in local currency
  • Payment processing is handled by third-party providers
  • You authorize us to charge your selected payment method

Cancellation and Refunds:

  • Subscription Cancellation: You may cancel anytime; access continues until period end
  • Refund Policy: Generally, fees are non-refundable except as required by law
  • Travel Booking Refunds: Subject to third-party provider policies
  • Pro-rated Refunds: Available for certain circumstances at our discretion

Price Changes:

  • We may change subscription prices with advance notice
  • Existing subscribers receive advance notice before price changes take effect
  • Continued use after price changes constitutes acceptance

12. Apple App Store End User License Agreement (EULA)

The following terms apply specifically to users who download and use the Gaidly mobile application through the Apple App Store:

12.1 Acknowledgement You acknowledge that this End User License Agreement is concluded between you and Gaidly, Inc. only, and not with Apple, Inc. ("Apple"). Gaidly, not Apple, is solely responsible for the Gaidly mobile application and its content. This EULA may not provide for usage rules for the Licensed Application that are less restrictive than the Usage Rules set forth for Licensed Applications in the Apple Media Services Terms and Conditions.

12.2 Scope of License The license granted to you for the Gaidly mobile application is limited to a non-transferable license to use the application on any Apple-branded products that you own or control and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

12.3 Maintenance and Support Gaidly is solely responsible for providing any maintenance and support services with respect to the Gaidly mobile application, as specified in this EULA or as required under applicable law. You acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

12.4 Warranty Gaidly is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Gaidly mobile application to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price for the application to you (if applicable). To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application.

12.5 Product Claims You and Gaidly acknowledge that Gaidly, not Apple, is responsible for addressing any claims of yours or any third party relating to the Gaidly mobile application or your possession and/or use of the application, including but not limited to:

  • Product liability claims
  • Any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement
  • Claims arising under consumer protection, privacy, or similar legislation

This EULA does not limit Gaidly's liability to you beyond what is permitted by applicable law.

12.6 Intellectual Property Rights You and Gaidly acknowledge that, in the event of any third-party claim that the Gaidly mobile application or your possession and use of that application infringes that third party's intellectual property rights, Gaidly, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

12.7 Legal Compliance You represent and warrant that:

  • You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country
  • You are not listed on any U.S. Government list of prohibited or restricted parties

12.8 Third-Party Terms of Agreement You must comply with applicable third-party terms of agreement when using the Gaidly mobile application.

12.9 Third-Party Beneficiary You and Gaidly acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.

13. Data and Privacy

Data Usage:

  • Our collection and use of your data is governed by our Privacy Policy
  • By using our Services, you consent to data processing as described in our Privacy Policy
  • We may use your data to improve AI algorithms and service quality

International Data Processing:

  • Your data may be processed in multiple countries for travel-related services
  • We comply with applicable data protection laws in jurisdictions where we operate

14. Service Availability and Performance

Service Availability:

  • We strive for high availability but cannot guarantee uninterrupted service
  • Services may be unavailable due to maintenance, updates, or technical issues
  • Availability may be limited in certain geographic regions

Performance Disclaimers:

  • Real-time data (weather, transportation, pricing) depends on third-party sources
  • We do not guarantee accuracy of dynamic information
  • Service performance may vary based on internet connectivity and device capabilities

International Usage:

  • Services may have limited functionality in certain countries
  • You are responsible for compliance with local laws when using our Services abroad
  • Data roaming and international connectivity charges are your responsibility

15. Termination

Termination by You:

  • You may terminate your account at any time through account settings
  • Upon termination, you lose access to premium features and saved data
  • Some data may be retained as described in our Privacy Policy

Termination by Us: We may suspend or terminate your access for:

  • Violation of these Terms or community guidelines
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended periods of inactivity
  • Business or legal reasons

Effect of Termination:

  • Access to Services ceases immediately
  • Outstanding payment obligations remain
  • Certain provisions survive termination (liability limitations, dispute resolution)

16. Disclaimers and Warranties

AS-IS Service: Our Services are provided "as is" and "as available" without warranties of any kind, express or implied, including:

  • Merchantability or fitness for a particular purpose
  • Accuracy of travel information or recommendations
  • Uninterrupted or error-free operation
  • Security against unauthorized access

Travel-Specific Disclaimers:

  • We do not warrant the accuracy of travel information, pricing, or availability
  • Destination conditions, weather, and local situations may change rapidly
  • Third-party travel services are outside our control
  • AI recommendations are suggestions only and should be independently verified

No Professional Advice: Our Services do not constitute:

  • Professional travel consulting
  • Medical or health advice
  • Legal advice regarding travel regulations
  • Emergency or safety services

17. Limitation of Liability

General Limitations: To the maximum extent permitted by law, Gaidly shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, or business opportunities
  • Damages arising from use or inability to use our Services
  • Third-party content or services accessed through our platform

Travel-Specific Limitations: We are not liable for:

  • Travel disruptions, cancellations, or delays
  • Changes in destination conditions or safety situations
  • Issues with third-party travel service providers
  • Travel-related injuries, illness, or other harm
  • Financial losses related to travel bookings or changes
  • Consequences of relying on AI recommendations

Maximum Liability: Our total liability is limited to the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

18. Indemnification

You agree to indemnify and hold harmless Gaidly, our affiliates, and employees from claims arising from:

  • Your use of our Services
  • Your violation of these Terms
  • Your User Content or community participation
  • Your travel activities undertaken using our Services
  • Your violation of any third-party rights

19. Dispute Resolution

Governing Law: These Terms are governed by Delaware state law, without regard to conflict of law principles.

Arbitration Agreement: Disputes shall be resolved through binding arbitration, except:

  • Small claims court matters (under $10,000)
  • Intellectual property disputes
  • Emergency injunctive relief

Arbitration Process:

  • Individual arbitration only (no class actions)
  • American Arbitration Association (AAA) rules apply
  • Each party bears own costs unless otherwise awarded

Class Action Waiver: You waive the right to participate in class actions, representative actions, or multi-party disputes.

20. International Provisions

Multi-Jurisdiction Service:

  • These Terms apply globally but may be supplemented by local requirements
  • Certain features may be limited in specific countries
  • Local laws may provide additional consumer protections

Language:

  • These Terms are written in English
  • Translations are for convenience only; English version controls
  • Local language requirements are addressed separately where required

  • Address security or operational issues

Notification: Material changes will be communicated through:

Acceptance: Continued use after changes take effect constitutes acceptance of modified Terms.

22. Severability and Entire Agreement

Severability: If any provision is found invalid, the remaining Terms continue in full force.

Entire Agreement: These Terms, together with our Privacy Policy and any additional terms for specific features, constitute the entire agreement between you and Gaidly.
