End User License Agreement (EULA)

Effective Date: February 24, 2026

This End User License Agreement ("EULA") is a legally binding agreement between you ("you" or "User") and Gaidly, Inc. ("Gaidly," "we," "our," or "us") governing your use of the Gaidly mobile application ("App") available on the Apple App Store and any related services.

By downloading, installing, or using the App, you agree to be bound by this EULA. If you do not agree, do not use the App.

This EULA supplements our Terms of Service and Privacy Policy. In the event of a conflict between this EULA and the Terms of Service, this EULA shall prevail with respect to the App.


1. Apple App Store Terms

1.1 Acknowledgement

This EULA is between you and Gaidly, Inc. only, and not with Apple, Inc. ("Apple"). This EULA may not provide for usage rules that are less restrictive than the Usage Rules set forth in the Apple Media Services Terms and Conditions.

1.2 Scope of License

The license granted to you is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

1.3 Maintenance and Support

Gaidly is solely responsible for providing maintenance and support services for the App, as specified in this EULA or as required under applicable law. Apple has no obligation to furnish any maintenance and support services with respect to the App.

1.4 Warranty

Gaidly is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price for the App to you (if applicable). To the maximum extent permitted by applicable law, Apple has no other warranty obligation with respect to the App.

1.5 Product Claims

Gaidly, not Apple, is responsible for addressing any claims relating to the App or your possession and use of the App, including but not limited to: product liability claims; any claim that the App fails to conform to any applicable legal or regulatory requirement; and claims arising under consumer protection, privacy, or similar legislation. This applies to the App and its proprietary features — not to User Content, for which users bear sole responsibility. This EULA does not limit Gaidly's liability to you beyond what is permitted by applicable law.

1.6 Intellectual Property Claims

In the event of any third-party claim that the App itself infringes that third party's intellectual property rights, Gaidly, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of any such claim. This applies only to the App and its proprietary components — not to User Content. Users are solely responsible for ensuring that any content they post, upload, or generate through the App does not infringe the intellectual property or other rights of any third party.

1.7 Legal Compliance

You represent and warrant that: (a) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (b) you are not listed on any U.S. Government list of prohibited or restricted parties.

1.8 Third-Party Beneficiary

You and Gaidly acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof.


2. User-Generated Content

2.1 Content Ownership

You retain all ownership rights in the original content you create and submit through the App ("User Content"), including but not limited to: travel plans, itineraries, and guides; reviews, ratings, and recommendations; photos and images you upload; comments and community contributions.

2.2 License Grant from Users

By submitting, posting, or sharing User Content through the App, you grant Gaidly a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

  • Use, reproduce, modify, adapt, publish, translate, and distribute your User Content within the App and related services
  • Display your User Content to other users in accordance with your privacy settings
  • Use your User Content to improve, train, and develop our services and AI algorithms (in anonymized or aggregated form)
  • Create derivative works for the purpose of operating and promoting the services

This license continues for as long as your User Content remains on the platform. When you delete your User Content, this license terminates within a commercially reasonable time, except for: (a) copies made by other users while the content was public (e.g., duplicated plans); and (b) anonymized data already incorporated into our systems.

2.3 Content Representations

By submitting User Content, you represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to submit the content
  • Your User Content does not infringe or violate the intellectual property rights, privacy rights, or any other rights of any third party
  • Your User Content complies with these terms and all applicable laws and regulations
  • Your User Content does not contain material that is defamatory, obscene, or otherwise objectionable

2.4 No Obligation to Use

Gaidly is under no obligation to use, display, or distribute any User Content. We may, at our sole discretion, refuse to accept or remove any User Content for any reason.


3. AI-Generated Content

3.1 Nature of AI Content

The App includes an AI assistant ("G") that generates travel plans, itineraries, recommendations, and other content based on your inputs and preferences. AI-generated content is produced by automated systems and may not always be accurate, complete, or up to date.

3.2 AI Content Disclaimer

AI-generated content is provided for informational and planning purposes only. Gaidly makes no representations or warranties regarding the accuracy, reliability, safety, or suitability of AI-generated recommendations. You should:

  • Independently verify all travel information, including safety conditions, visa requirements, opening hours, and pricing
  • Not rely solely on AI recommendations for critical travel decisions
  • Consult official government sources for travel advisories and health guidance
  • Exercise your own judgment when following any AI-generated itinerary or recommendation

3.3 AI Content Ownership

AI-generated content created through your use of the App is provided to you under a non-exclusive license for personal use. Gaidly retains all rights in the underlying AI models, algorithms, and systems used to generate the content.


4. Third-Party Content and Attribution

4.1 Third-Party Images

The App uses images sourced from third-party providers, including Unsplash, Google Places, and TripAdvisor. These images are subject to their respective licenses and terms of use. You may not:

  • Claim ownership of third-party images displayed in the App
  • Download, redistribute, or use third-party images outside the App without complying with the original license terms
  • Remove or alter any attribution or watermarks associated with third-party content

4.2 Third-Party Services

The App may integrate with or reference third-party travel services, including airlines, hotels, restaurants, and activity providers. Gaidly is not responsible for the accuracy, quality, safety, or availability of any third-party services or content.


5. Content Moderation and Removal

5.1 Moderation Rights

Gaidly reserves the right, but has no obligation, to monitor, review, edit, or remove any User Content at our sole discretion, without prior notice, for any reason, including but not limited to:

  • Violation of this EULA, our Terms of Service, or Community Guidelines
  • Content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Content that infringes intellectual property rights
  • Content that contains spam, malware, or unauthorized commercial solicitation
  • To comply with legal requirements or law enforcement requests
  • To protect the safety of our users or the public

5.2 Prohibited Content

The following content is strictly prohibited:

  • Harassment, bullying, threats, intimidation, or hate speech
  • Sexually explicit, pornographic, or obscene material
  • Content that exploits, endangers, or sexualizes minors
  • Violent content, graphic imagery, or content promoting self-harm
  • False, misleading, or fraudulent travel information
  • Content promoting illegal activities, substances, or services
  • Spam, scams, phishing attempts, or unauthorized solicitation
  • Personal or private information of others without consent
  • Content infringing intellectual property rights
  • Impersonation of other users, public figures, or Gaidly representatives
  • Discriminatory content based on race, ethnicity, religion, gender, sexual orientation, disability, or national origin

5.3 Reporting and Blocking

Users may:

  • Report Content: Flag any content that violates these guidelines using the in-app report feature
  • Report Users: Report users engaging in abusive or inappropriate behavior
  • Block Users: Block any user to prevent interaction and hide their content
  • Hide Content: Remove specific content from their feed

All reports are reviewed by our trust and safety team, typically within 24-72 hours. Gaidly takes appropriate action based on the severity and nature of the violation, including content removal, account warnings, suspension, or permanent termination.

5.4 Appeals

If your content is removed or your account is suspended, you may appeal by contacting [email protected]. We will respond within 7 business days.


6. Account Termination

6.1 Termination by You

You may terminate your account at any time through the App's account settings or by contacting [email protected].

6.2 Termination by Gaidly

Gaidly may suspend or terminate your account, with or without notice, for:

  • Violation of this EULA, our Terms of Service, or Community Guidelines
  • Repeated submission of prohibited content
  • Fraudulent, illegal, or abusive activity
  • To comply with legal requirements
  • Any other reason at our sole discretion

6.3 Effect of Termination

Upon termination: (a) your license to use the App terminates immediately; (b) you must cease all use of the App; (c) your User Content may be retained for a reasonable period for legal compliance and safety purposes as described in our Privacy Policy; and (d) provisions regarding content licenses, liability limitations, and indemnification survive termination.


7. Subscriptions and In-App Purchases

7.1 Subscription Plans

The App offers free and paid subscription plans (Pro Monthly and Pro Yearly). Paid subscriptions are billed through Apple's App Store and are subject to Apple's payment terms.

7.2 Auto-Renewal

Paid subscriptions automatically renew unless you cancel at least 24 hours before the end of the current billing period. You can manage and cancel subscriptions in your Apple ID account settings.

7.3 Refunds

Refund requests for App Store purchases are handled by Apple in accordance with Apple's refund policies. Contact Apple Support for refund inquiries.


8. Liability Limitations

8.1 Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF INFORMATION.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GAIDLY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE APP, USER CONTENT, OR AI-GENERATED CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS EULA SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP OR SUBSCRIPTION IN THE 12 MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

8.3 User Content Liability

You are solely responsible for any User Content you post, upload, or generate through the App, including any consequences of sharing such content. Gaidly does not endorse, verify, or guarantee the accuracy, completeness, or reliability of any User Content. Gaidly is not responsible or liable for any User Content posted, stored, or uploaded by users of the App. You access and rely on User Content at your own risk.


9. Indemnification

You agree to indemnify, defend, and hold harmless Gaidly, its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the App
  • Your User Content
  • Your violation of this EULA or any applicable law
  • Your violation of any third-party rights
  • Any travel activities undertaken using information from the App

10. Privacy and Data Protection

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information.

10.1 Data Collection Summary

The App collects the following categories of personal data:

  • Account information: name, email, phone number, profile photo
  • User content: plans, guides, reviews, AI conversation history
  • Usage data: product interactions, feature usage, AI message evaluations
  • Device information: device model, platform, for session management
  • Location data: coarse location (when in use only) for place search and maps
  • Purchase data: subscription plan, billing cycle, and status

10.2 Data Not Collected

The App does not collect: contacts, health/fitness data, financial information (payment handled by Apple), browsing history from other apps, advertising identifiers, or biometric data.


11. Jurisdiction-Specific Provisions

11.1 European Union and United Kingdom (GDPR)

If you are located in the EU or UK, you have additional rights under the General Data Protection Regulation (GDPR), including the right to access, rectify, erase, restrict processing, and port your data. You may exercise these rights by contacting [email protected]. You also have the right to lodge a complaint with your local data protection authority.

11.2 California, United States (CCPA/CPRA)

If you are a California resident, you have the right to: know what personal information we collect; request deletion of your personal information; opt out of the sale of personal information (we do not sell your personal information); and not be discriminated against for exercising these rights.

11.3 Brazil (LGPD)

If you are located in Brazil, you have rights under the Lei Geral de Protecao de Dados (LGPD), including the right to access, correct, delete, and port your data. Contact [email protected] to exercise these rights.

11.4 Age Requirements

You must be at least 13 years old to use the App. If you are between 13 and 18, you must have parental or guardian consent. Certain features may require you to be 18 or older.


12. General Provisions

12.1 Governing Law

This EULA is governed by the laws of the State of Delaware, United States.

12.2 Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and Gaidly regarding the App.

12.3 Severability

If any provision of this EULA is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

12.4 Amendments

We may update this EULA from time to time. Material changes will be communicated through in-app notifications or email. Your continued use of the App after changes take effect constitutes acceptance of the updated EULA.

12.5 No Waiver

Our failure to enforce any right or provision of this EULA shall not constitute a waiver of that right or provision.

12.6 Assignment

You may not assign or transfer this EULA without our prior written consent. Gaidly may assign this EULA without restriction.
